Section 1 – Token Issuer
The Token Issuer is a separate legal entity and subsidiary of the DAO Foundation, the DAO Foundation shall be its sole director and the Token Issuer shall issue GST. The subsidiary will be managed by the GST Treasury. Any GST must be issued from this entity in order for the holder to be considered a member of GST DAO.
Section 2 – Token Issuer Appointment
The Foundation Council Members or the Operating Company CEO have the right, if either considers it reasonably necessary acting in good faith, to add further token issuers, and to replace or restructure the Token Issuer(s). If the Operating Company CEO makes such determination, the Foundation Council Members are obliged to make such arrangements and undertake such acts as are reasonably required to add, replace or restructure the existing Token Issuer(s) or any new token issuer.
GST Holders shall be given notice of any additional token issuer or the restructure or replacement of the Token Issuer(s), and shall have a minimum of 30 days to enact the Veto Protocol regarding the proposal. Should more than 33.3% of GST Holders veto the proposal, the proposed appointment, incorporation, replacement or restructuring of the token issuer or Token Issuer(s) shall not take effect.
