GST DAO is structured in a unique way to ensure it will stand the test of time, consisting of three separate entities with different roles and responsibilities within the Green Standard system. They will exist under a single legal wrapper in an ownerless, decentralised structure.
- GST holders (DAO members)
- GST DAO foundation (initially registered as a Cayman Island Foundation)
- Foundation Council
- GST treasury
- GST token issuer
- GST DAO operating company
Legal wrapper
The image below shows our intended structure at the time of writing this document.

DAO members (GST holders)
GST is a digital governance token and currency that uses the Green Standard monetary system methodology to issue tokens. It is built on the blockchain, forming a decentralised, democratised community of DAO members.
There are certain governance rights associated with holding GST which have been extensively laid out in the GST DAO foundation Constitution, some of which are discussed in section 3.2.
GST DAO Foundation
Several different functions will exist within this legal entity, playing different roles in order to maintain a balance of power and to ensure GST holders can retain their governance rights in perpetuity.
Foundation Council:
This function will consist of “Foundation Council Members” and other administrative positions as required by the relevant regulations. Their primary role is to ensure the foundation acts in accordance with the Constitution and its special purpose, while ensuring the financial and legal security of all DAO held assets, namely the protected land.
GST treasury:
The Treasury is a second committee that exists within the GST DAO Foundation whose primary role it is to direct the token issuer to issue GST in accordance with the Green Standard monetary system calculation.
GST token issuer:
This is a separate legal entity and subsidiary of the GST DAO Foundation which is managed entirely by the GST treasury. As laws and regulations change there may be a need for additional token issuers to be registered in multiple jurisdictions.
GST DAO operating company
The capped-profit entity within this DAO which has the sole perpetual rights to contract the use of all land held by the foundation. This exists as a separate legal entity to the foundation, but is legally obliged to adhere to the DAO rules including the Constitution and its special purpose.
Main responsibilities listed below:
- Scale the collective mission.
- Identify and execute on opportunities for token utility.
- Monetise land in adherence to constitutional limitations.
- Manage partnerships with 3rd parties that help grow the DAO.
The capped-profit nature of this entity relates to the distribution of profits as discussed in the Tokenomics section.
